Incentive programs
The AGM 2009 authorized an issue of at most 550,000 options, entitling holders to subscription of at most 550,000 shares in the Company. The issue shall, waiving shareholders' preferential rights, be directed at all employees in the Know IT Group. The reason for waiving shareholders' preferential rights is to create a long-term, personal ownership commitment among employees.
Application for options shall be carried out during the period May 18, 2009 up through June 12, 2009.
The options can be exercised during the period June 1, 2012 through June 12, 2012. Dilution of share capital and votes, if all options are exercised, will be around 3.92 percent.
In this incentive program, 550,000 options were purchased. The price per option was SEK 5.58. 32,000 subscription options were purchased by Know IT to be sold at fair value to employees hired after the end of tihe application period. Each option entitles its holder to subscribe to one new share at the price SEK 49.63.
